Terms of Service – Digital MIAM

These Terms of Service ("Terms") are entered into between you ("Client", "you", or "your") and Cypher 7 Limited, a company registered in England and Wales (Company Number 13557284), trading as "Digital MIAM" ("we", "us", "our", or "Digital MIAM").
These Terms govern your access to and use of our website (www.digitalmiam.co.uk) and related services. By accessing or using our services, you agree to be legally bound by these Terms.
1. Service Overview
Digital MIAM is a digital platform operated by Cypher 7 Limited. We facilitate the Mediation Information and Assessment Meeting ("MIAM") process by:
Collecting intake information via secure online forms
Providing AI-assisted case analysis for informational purposes only
Matching clients with professional mediators
Enabling scheduling and management of MIAM sessions
Issuing court-compliant MIAM certificates where applicable
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract under the laws of England and Wales.
3. Account Registration
You agree to provide accurate, complete, and current information during registration and to maintain the security of your account credentials. You are solely responsible for all activities conducted through your account.
4. AI-Powered Services, Confidentiality, Client Reviews, Outputs and Limitations
Digital MIAM uses AI to analyse anonymised client responses to assist in case preparation. No personally identifiable information (including names, addresses, or dates of birth) is shared with any AI system.
The AI-generated case analysis is proprietary to Digital MIAM and is provided solely to facilitate mediation services through our platform. You agree not to share, republish, reproduce, or distribute any AI-generated report, summary, or recommendation with third parties, including legal representatives, courts, or opposing parties, without our prior written consent.
Unauthorised disclosure constitutes a breach of these Terms and may result in legal action.
4.1 AI-Generated Client Reviews Not for Legal Use
Any AI-generated summaries, reviews, assessments, or narrative outputs provided to you through the Digital MIAM platform are for informational and internal guidance purposes only. These AI-generated materials must not be used, submitted, or relied upon as evidence in any court proceedings, tribunal, or legal dispute.
Use of AI outputs for evidential or adversarial purposes is strictly prohibited and constitutes a breach of these Terms.
4.2 AI Limitations and Potential for Errors
Digital MIAM uses advanced AI systems to support case preparation and client guidance; however, AI technologies may occasionally generate information that is incomplete, inaccurate, or imperfect. You acknowledge and agree that:
AI-generated content may contain errors, omissions, or misinterpretations;
AI outputs are not a substitute for professional legal, financial, or mediation advice;
You remain solely responsible for reviewing, verifying, and assessing the accuracy of any AI-generated information.
4.3 Limitation of Liability for AI Outputs
Digital MIAM shall not be held liable for any losses, consequences, legal issues, or misunderstandings arising from reliance on AI-generated content. All AI outputs are provided strictly on an "as-is" basis, without warranties of accuracy, completeness, or suitability for any specific purpose.
5. MIAM Completion Timeframe (Service Level)
Digital MIAM offers its MIAM service on two levels: a Standard MIAM and a Fast Track MIAM. The service level that applies to you is the one you selected and paid for at the time of booking.
Each service level carries a Service Level Aim ("SLA"). All SLAs are non-binding aims, are calculated on business days only (Monday to Friday, excluding UK public holidays), and do not constitute a guarantee of delivery within the stated period.
5.1 Standard MIAM
For a Standard MIAM, Digital MIAM aims to arrange and complete the MIAM session within 5 business days of case assignment. Case assignment is carried out daily, on business days.
5.2 Fast Track MIAM
Where you have purchased the Fast Track MIAM option, Digital MIAM's commitment is to:
a) make initial contact with you within 24 hours of payment (measured on business days); and b) seek to offer you a MIAM appointment within 24 hours of that initial contact.
The Fast Track SLA is dependent on your availability. Where Digital MIAM has offered you one or more appointment times within the applicable 24-hour window but you are unable to accommodate the time(s) offered, Digital MIAM shall be deemed to have met its Fast Track commitment. Any resulting delay in holding the MIAM appointment will in those circumstances be treated as client-driven, and Digital MIAM shall bear no liability for it.
5.3 Client-Driven Delays
If you cancel, reschedule, or fail to attend your booked MIAM session, any delay beyond the applicable SLA window (whether Standard or Fast Track) will be considered client-driven. In such circumstances, Digital MIAM bears no liability for missing the SLA window, and no refund or compensation will be due. This clause explicitly voids any implied or perceived guarantee linked to the original timeframe.
6. Refunds and Cancellations
6.1 Refund Entitlement
Once payment is made and a case file is submitted to the assigned mediator, a portion of the service is considered rendered. If the client requests cancellation prior to the MIAM appointment, a non-refundable service administration fee of £15.00 will be deducted from any refund.
6.2 Completed Services
No refunds will be issued once:
The MIAM session has taken place, or
A valid MIAM certificate has been issued, downloaded, or used.
This constitutes full delivery of our service.
6.3 Chargeback Protection
By using our services and making payment via card, you acknowledge that once a MIAM certificate is issued and/or used in legal proceedings (e.g. as part of a court application), this represents your full satisfaction with the service rendered.
Any attempt to initiate a chargeback after full use of the service—including the booking, mediator consultation, and receipt or use of the MIAM certificate—will be deemed fraudulent. We reserve the right to challenge such chargebacks vigorously, including by submitting service logs, timestamps, mediator records, and certificate download data as evidence to the relevant financial institution.
We further reserve the right to pursue legal recovery and costs if we are financially impacted by chargeback abuse.
6.4 Cancellations and Rescheduling
This clause applies where you cancel or reschedule a booked MIAM appointment. The fee payable depends on how much notice you give before the scheduled appointment time, and applies equally to cancellations and to reschedules:
a) More than 24 hours' notice: no cancellation or rescheduling fee is payable. b) 24 hours' notice or less, but more than 3 hours before the scheduled appointment time: a fee of £15.00 applies. c) 3 hours' notice or less before the scheduled appointment time: a fee of £25.00 applies.
These fees reflect the administrative costs incurred and the mediator's reserved time. They apply regardless of the reason for cancellation or rescheduling, except where Digital MIAM, acting reasonably and at its sole discretion, determines that a verified emergency or other exceptional circumstances apply. Any fee payable under this clause is non-refundable and must be paid before a new appointment time is confirmed.
Repeated late changes. If you cancel or reschedule a booked MIAM appointment on more than three (3) occasions with 24 hours' notice or less, Digital MIAM reserves the right to require payment of the full MIAM fee then in force (as set out at www.digitalmiam.co.uk/about/our-pricing) before any further appointment is scheduled. Where this applies, the full MIAM fee replaces (and is not charged in addition to) the per-occasion fee in (b) or (c) for the change that triggers it.
6.5 Failure to Attend / No-Show
If a Client fails to attend a scheduled MIAM appointment without providing prior notice of cancellation ("No-Show"), this shall be treated as a Client-driven failure to engage with the service.
In the event of a No-Show:
a) the MIAM appointment shall be deemed to have been made available in full; b) the Client shall not be entitled to any refund, whether in whole or in part; c) Digital MIAM shall have no obligation to reschedule the appointment without additional payment; and d) any stated service delivery timeframes shall be suspended until the Client re-engages.
Where a Client wishes to re-book and proceed with a MIAM following a No-Show, Digital MIAM reserves the right to require payment of the full MIAM fee then in force (as set out at www.digitalmiam.co.uk/about/our-pricing) before a new appointment is scheduled. This is in addition to the forfeiture of the original fee under paragraph (b) above.
This clause applies regardless of the reason for non-attendance, except where Digital MIAM, acting reasonably and at its sole discretion, determines that exceptional circumstances apply.
7. Prohibited Conduct
You agree not to:
Use the platform for any unlawful purpose
Submit false, misleading, or fraudulent information
Attempt to access systems or data you are not authorised to access
Share confidential platform outputs (including AI case analysis) without written permission
Harass or abuse mediators or staff
8. Intellectual Property
All platform content, including software, AI outputs, text, images, and branding, is owned by or licensed to Digital MIAM. You are granted a limited, revocable, non-transferable license to use the platform only for its intended purpose.
AI-generated case reports and analysis remain the intellectual property of Digital MIAM.
9. Limitation of Liability
To the fullest extent permitted by law, Digital MIAM shall not be liable for:
Any indirect or consequential damages
Delays in service caused by third parties or client action
The outcome of any mediation or legal proceedings
Reliance on AI-generated information (provided for guidance only)
Our total liability under these Terms shall not exceed the total fees paid by you for services.
10. Data Protection
10.1 We process your personal data in accordance with our Privacy Policy, available at www.digitalmiam.co.uk/privacy. By using our services, you confirm that you have read and understood our Privacy Policy.
10.2 Cypher 7 Limited (trading as Digital MIAM) is the data controller for personal data you provide through the platform.
10.3 We use third-party service providers to host, process, and secure your data. This may involve your data being stored or processed outside the United Kingdom. Where this occurs, we ensure appropriate safeguards are in place in accordance with UK data protection law, as described in our Privacy Policy.
10.4 By submitting information through our MIAM intake survey, you explicitly consent to the processing of any sensitive personal data (such as health information, information about children, or allegations of domestic abuse) for the purposes of delivering mediation services.
10.5 You have rights under UK GDPR including the right to access, correct, delete, and port your data. Full details are in our Privacy Policy.
11. Mediator Status
11.1 Mediators available through the Digital MIAM platform are independent professionals. They are not employees, workers, or agents of Digital MIAM or Cypher 7 Limited.
11.2 Digital MIAM facilitates the connection between you and the mediator but does not supervise, direct, or control the mediator's professional services.
11.3 Complaints regarding the conduct or quality of mediation services should be directed to the mediator in accordance with Family Mediation Council (FMC) procedures. Our Complaints Policy at www.digitalmiam.co.uk/complaints provides further guidance.
11.4 Digital MIAM accepts no liability for the acts, omissions, advice, or professional conduct of mediators.
12. Confidentiality and Privilege of Mediation
12.1 Family mediation conducted with a mediator introduced through the platform is a confidential and legally privileged ("without prejudice") process. Subject to the exceptions set out below, what is discussed during the mediation process is treated as confidential and cannot generally be referred to in court proceedings.
12.2 Financial disclosure is treated differently. Financial information provided during the mediation process is given on an open basis and may be referred to or relied upon in any later court proceedings.
12.3 Confidentiality does not apply, and the mediator and/or Digital MIAM may disclose relevant information, where:
a) there is a risk of harm to a child or a vulnerable adult, or a serious safeguarding concern; b) disclosure is required by law or by an order of the court; c) disclosure is required in order to make a report under money laundering, proceeds of crime, or terrorism-financing legislation; or d) all parties to the mediation consent in writing to the disclosure.
12.4 The confidentiality and privilege described in this clause attach to the mediation process and are principally a matter between you and the independent mediator (see clause 11). Your mediator may ask you to enter into a separate Agreement to Mediate setting out these principles in further detail; where there is any inconsistency concerning the conduct of the mediation itself, that agreement will prevail. The disclosure obligations that fall on Digital MIAM in its capacity as operator of the platform — in particular those required by law or court order, and reports required under money laundering, proceeds of crime, or terrorism-financing legislation — apply to Digital MIAM directly.
12.5 We and the mediator will always seek to handle any such disclosure sensitively and in accordance with our respective professional and legal obligations.
13. Changes to Terms
We may amend these Terms from time to time. Updated versions will be posted on our website with the latest effective date. Continued use of our services constitutes your acceptance of the revised Terms.
14. Governing Law
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales, and subject to the exclusive jurisdiction of the courts of England and Wales.
